These Terms of Service ("Terms") govern your access to and use of the Partain Ventures & Entertainment LLC website at partainventures.com (the "Site") and any services offered through it. By using the Site or submitting an application, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility
This Site is intended exclusively for adults who are 21 years of age or older and who are operating or authorized to represent a legitimate 21+ venue (bar, nightclub, lounge, or similar establishment). By accessing this Site, you represent and warrant that you meet these requirements. We reserve the right to refuse service to anyone who does not meet these criteria.
2. Nature of Services
Partain Ventures & Entertainment LLC is a vending machine placement company. We install, stock, operate, and maintain premium vending machines in qualifying 21+ venues. The information on this Site is intended for venue owners and operators evaluating a potential placement partnership. This Site does not sell nicotine or tobacco products directly to consumers.
3. Earnings Estimates — No Guarantee
Any earnings figures, calculator outputs, testimonials, or income ranges displayed on this Site are illustrative examples based on documented results from specific partner venues. They are not promises, guarantees, or projections of what you will earn.
Your actual results will depend on your venue's specific foot traffic, location, customer demographics, hours of operation, and other factors outside our control. Written substantiation for any earnings claim is available upon request by calling (405) 777-1209.
Nothing on this Site constitutes a binding offer or promise of income. All specific payout amounts are subject to the terms of a separate written placement agreement negotiated with Partain Ventures.
4. FTC Business Opportunity Disclosure
Partain Ventures is a vending machine placement business. Under the FTC Business Opportunity Rule (16 CFR Part 437), we are required to provide prospective venue partners with a one-page Disclosure Document and, where applicable, an Earnings Claim Statement before any agreement is signed or payment is made. These documents will be provided to qualified applicants during the evaluation process. Do not enter into any agreement without receiving and reviewing these disclosures.
5. Nicotine Product Acknowledgment
All vending machines placed by Partain Ventures contain nicotine and tobacco products, including electronic nicotine delivery systems (ENDS/vapes) and nicotine pouches.
WARNING: These products contain nicotine. Nicotine is an addictive chemical.
By partnering with Partain Ventures, venue operators represent that their venue is restricted to adults 21 years of age and older in compliance with federal Tobacco 21 law (21 U.S.C. §387f(d)). Venue operators agree to maintain compliance with all applicable state and local laws governing tobacco and nicotine product sales on their premises.
6. Compliance Responsibilities
Partain Ventures is responsible for maintaining federal and state compliance for the vending machines and their products. However, venue operators are independently responsible for:
- Ensuring their venue is restricted to adults 21+ at all times the machine is in operation
- Notifying Partain Ventures of any changes in licensing, permitted occupancy, or venue operations that may affect machine placement
- Compliance with any state-specific or local regulations applicable to their venue's license or operations
7. Intellectual Property
All content on this Site — including text, design, graphics, logos, and copy — is the property of Partain Ventures & Entertainment LLC and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works from any Site content without our written permission.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Partain Ventures & Entertainment LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Site or reliance on any information presented here, including earnings estimates or calculator results. Our total liability to you for any claim arising from use of this Site shall not exceed $100.
9. Disclaimer of Warranties
This Site and its contents are provided "as is" without warranty of any kind, express or implied. We do not warrant that the Site will be error-free, uninterrupted, or free of harmful components.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Site shall first be submitted to informal negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in Oklahoma County, Oklahoma under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
11. Changes to These Terms
We reserve the right to update these Terms at any time. We will post the revised Terms on this page with an updated effective date. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
